What an annual return is.

Under section 126 of the Companies Act, 2019 (Act 992), every company files an annual return with the Office of the Registrar of Companies at least once a year. It confirms the company’s current particulars, including its members and its beneficial owners, as set out in the Act’s Fifth Schedule.

The timing is linked to when your financial statements are circulated to members, and newly incorporated companies may be exempt in their first period. Because these rules turn on your own dates, we compute your deadline from your records and confirm it against current ORC guidance, rather than quote one date for everyone.

Business names and partnerships do not file annual returns. They renew each year instead. About renewals

What it costs.

GHS 450 GHBusinessDesk service fee, plus the Registrar’s filing fee of GHS 175, paid at cost. Nothing else unless you ask for it.

  • GHBusinessDesk service fee. Fixed. Covers preparation, filing, tracking and your vault copy.
  • On the Business plan, it’s included. GHS 150 a month, billed annually, with WhatsApp and SMS reminders.
