What is a beneficial owner?

Every company must disclose the real people who ultimately own or control it. What that means, who counts, and when the information must be updated.

The definition

A beneficial owner is the natural person who ultimately owns or controls a company. “Natural person” means a human being. A company can be a shareholder, but it cannot be a beneficial owner: you look through it to the people behind it.

Why it matters

The Companies Act, 2019 (Act 992) introduced a central register of beneficial owners (section 373). Every company’s annual return must also carry beneficial-owner particulars (section 126 and the Fifth Schedule). The aim is simple: anyone dealing with a company should be able to rely on the register to know who really stands behind it.

Who counts

  • People who hold shares directly in the company, above the threshold in current guidance.
  • People behind a corporate shareholder. If another company owns shares in yours, the people who own or control that company may be your beneficial owners.
  • People who control the company in other ways, even without holding shares.

The ownership thresholds are set by the Registrar’s current guidance and can change. Our questions apply the thresholds in force and show you the rule used, rather than asking you to work it out.

Politically exposed persons

The beneficial-ownership particulars include a question about politically exposed persons. If you are not sure whether it applies to someone, ask us before you answer. It is better to check than to correct a filing later.

When you must file

  1. When the company is incorporated, as part of the application.
  2. In every annual return.
  3. Whenever ownership or control changes, within the period set by current Registrar guidance. Historic guidance was 30 days. We confirm the current period before we file.

If you do not file

The ORC’s 2026 schedule lists a penalty of GHS 500 for not filing beneficial-ownership information. Penalties are set by the Registrar; GHBusinessDesk does not set or collect them.
